In Brazil, distributed solar generation is legally protected and incentivized by Law No. 14.300/2022, enacted in January 2022. This law established the Legal Framework for Distributed Generation (Marco Legal da GD) and created a nationwide model of net metering, enabling individuals and cooperatives to produce their own renewable electricity and receive credits for excess energy injected into the grid.
Under this law, energy credits are used to offset future consumption on electricity bills, making distributed generation economically attractive. Projects approved before January 7, 2023 benefit from a 25-year grandfather clause, preserving the original compensation model until 2045. Newer projects follow a transition schedule but still enjoy favorable conditions under a regulated environment.
The law also explicitly supports shared generation models – including cooperatives and consortia – where multiple consumers co-own or co-invest in a renewable energy plant and share the resulting credits. This is the legal foundation of Vernegy’s operating model. Every participant in the Vernegy ecosystem benefits from rights guaranteed under this law, supported by technical standards and regulated by Brazil’s national energy agency.
The Brazilian Electricity Regulatory Agency (ANEEL) oversees how distributed generation is implemented across the country. The foundational regulation was Resolution No. 482/2012, which created the structure for grid-tied residential and commercial solar energy systems. Over time, it was updated by newer regulations, including Resolution No. 1.000/2021, which consolidated and modernized the rules.
These regulations define how Vernegy connects solar systems to the national grid, measures energy generation, and distributes credits among project participants. Vernegy complies fully with ANEEL standards for safety, reporting, and energy metering. The agency’s support of shared generation via cooperatives gives legal and operational stability to Vernegy’s projects.
In addition to federal regulation, distributed generation in Brazil is incentivized through tax exemptions on the state level. The ICMS tax (Brazil’s state VAT equivalent) is waived for energy that is injected into the grid and later offset via credits, thanks to Confaz Agreement ICMS No. 16/2015.
This means solar users are not taxed on the self-generated energy they send to the grid and later consume. Key states such as São Paulo, Minas Gerais, and Rio de Janeiro have adopted this exemption, significantly increasing the financial return for project participants.
Vernegy ensures that all shared generation projects are designed to qualify for this exemption where available, maximizing the benefits for both households and investors. This adds to the appeal of solar as a long-term infrastructure investment.
Vernegy is a registered energy cooperative in Brazil, operating within the legal frameworks permitted under Law 14.300 and ANEEL guidelines. Each participant becomes a member of the cooperative, which acts as the legal entity for managing energy credits, contracts with utility companies, and compliance with national and state regulations.

Beyond the cooperative format, Vernegy implements governance principles inspired by DAOs (Decentralized Autonomous Organizations). Vernegy maintains full compliance with Brazil’s Securities and Exchange Commission (CVM) regarding investments, crowdfunding, and digital assets. While energy credits themselves are not considered securities, tokenized instruments or public investment offers may be regulated depending on their structure.
When applicable, Vernegy uses CVM-compliant crowdfunding channels and discloses all required documentation to token holders and investors. If a token or offering qualifies as a security under Brazilian law, Vernegy complies with CVM Resolution No. 88/2022, which governs equity crowdfunding for early-stage companies.
Our legal and compliance teams monitor regulatory updates to ensure token issuance and fundraising are structured safely, transparently, and within current legal frameworks. Our goal is to combine innovation with legal robustness.
Within Vernegy’s cooperative model and under Brazilian law, energy credits generated by a solar unit may be partially or fully reassigned to another cooperative member in the event of default or payment failure by the original beneficiary.
This is possible thanks to Law 14.300/2022 and ANEEL Resolution 1.000/2021, which allow the flexible redistribution of energy credits among participants in a shared generation structure, as long as all units are in the same utility concession area.
Vernegy includes in its cooperative agreements specific clauses that authorize credit suspension and reallocation when a member fails to meet their payment obligations. This ensures financial stability within the ecosystem and allows the generated energy to continue creating value — by temporarily serving another member who helps cover or absorb the cost of the system.
